Quotations & Orders: Quotes are valid for 30 days. Orders are subject to credit approval and unforeseen contingencies (Acts of God, strikes, etc.). Canceled orders require compensation for all incurred costs.

Creative & Experimental Work: All preliminary work is billable at current rates. Sketches, copy, and dummies remain the provider's exclusive property and may not be used without written consent.

Specifications & Alterations: Quotes depend on accurate specifications. If submitted materials differ from the original quote, jobs may be requoted. Customer alterations beyond original specs will be charged at current rates.

Proofs: Prepress proofs must be signed and returned before production begins. The provider is not liable for errors if the customer waives proofs or communicates changes verbally. Press proofs are only provided if requested in writing and may incur additional charges.

Color Accuracy & Technicals: Expect reasonable variations (85-90% accuracy) between proofs and final products due to differences in ink, paper, and equipment.

Files & Manuscripts: Customers must maintain original file backups. The provider is not liable for damaged media or digital file errors. Additional programming needed to utilize customer files is billable.

Production & Delivery: Schedules are estimates; the provider is not liable for delays caused by government action, war, or carrier issues. Shipping is F.O.B. provider’s platform. Title passes to the customer upon delivery to the carrier.

Quantities: Overruns or underruns not exceeding 10% will be billed at the actual quantity delivered.

Customer Property: The provider's liability for customer property is limited to the amount recoverable by insurance.

Payment & Claims: Payment is Net 30 days. Claims for defects or shortages must be made in writing within 10 days of delivery (or 24 hours for general complaints). Liability is limited to the return of the invoiced amount; no consequential damages are assumed.

Indemnification & Copyright: Customers warrant they own the rights to all submitted images and that content is not libelous. Customers agree to indemnify the provider against all legal actions and costs related to copyright infringement or privacy rights.

Taxes: All applicable taxes are the customer's responsibility and will be added to the invoice.

Turnaround: Turnaround begins only once all "print-ready" artwork is received. The remedy for missed deadlines is limited to a refund of rush fees or a future credit.

Customized Goods & Sizing: Returns are not accepted on customized items unless they are materially flawed or defective. Sizing varies by manufacturer; Proforma PSP is not responsible for incorrectly ordered sizes.

Venue: All legal disputes shall be settled in the jurisdiction of Sumner County, TN.
